TERMS OF USE

Effective Date: February 1, 2026

Operator: Palm Oil Ventures, Ltd. (hereinafter "POV," "we," "us," or "our")

Scope of Services: PalmFi (Palm Finance), including its user interface (websites, dashboards), Application Programming Interfaces (APIs), documentation, and related smart contracts or protocol components (collectively, the "Services").

Stablecoin Disclosure: PalmFi utilizes USDT as the primary transactional asset. POV does not issue, control, manage, redeem, or maintain custody of USDT.

1. Acceptance of Terms

By accessing, browsing, or utilizing the Services, you constitute a binding agreement to these Terms of Use, along with all policies incorporated by reference, including the Privacy Policy and the Legal & Disclosure document. If you do not agree to these Terms, you must immediately discontinue access to and use of the Services.

2. Eligibility & Access Conditions

  • Legal Capacity: You represent and warrant that you are of legal age and possess the legal capacity to enter into this agreement under applicable law.
  • Non-Custodial Architecture: PalmFi operates as a non-custodial staking and yield platform. Access to the Services is permitted solely via a self-hosted, unhosted, or non-custodial wallet (e.g., MetaMask, Ledger) that you exclusively control.
  • Geographic Restrictions: You represent and warrant that you are not located in, resident in, or ordinarily resident in any Restricted Jurisdiction as defined in the Legal & Disclosure document. POV reserves the right to restrict access via IP blocking or other technical means.

3. Nature of Services & Assumption of Risk

PalmFi provides a technical interface to access staking and yield-related smart contracts deployed on public blockchains. By using the Services, you acknowledge that:

  • Risk of Loss: Digital assets and staking products involve substantial risk, including the potential for partial or total loss of principal.
  • Immutable Transactions: Blockchain transactions are generally public, irreversible, and final.
  • No Guarantees: POV does not guarantee specific yields, returns, protocol performance, continuous uptime, or service availability.
  • Performance: Past performance is not indicative of future results.

4. Accountless Usage (No Onboarding)

PalmFi operates on a strict "No Accounts" basis. To protect user privacy and minimize data liability:

  • No PII Collection: We do not collect personal identifiers such as names, email addresses, phone numbers, or physical addresses.
  • No KYC/AML: We do not perform Know Your Customer (KYC) or Anti-Money Laundering (AML) onboarding procedures.
  • No Data Storage: We do not store wallet ownership data or link wallet addresses to real-world identities.

Access is granted exclusively through the connection of a user-controlled Web3 wallet.

5. Prohibited Uses

You expressly agree not to use the Services to:

  • Violate Law: Contravene any applicable federal, state, local, or international laws or regulations.
  • Illicit Activity: Engage in fraud, market manipulation, money laundering, terrorist financing, or sanctions evasion.
  • Technical Abuse: Exploit smart contracts, introduce malware, execute denial-of-service attacks, or identify/exploit security vulnerabilities.
  • Interference: Disrupt or interfere with the operational integrity of the protocol or interface.

POV reserves the right to restrict frontend access where legally required or to mitigate security threats.

6. Wallets, Custody & Private Keys

  • Self-Custody: You retain full and exclusive custody of your assets at all times.
  • Security: You are solely responsible for the security of your wallet, private keys, seed phrases, and transaction approvals.
  • Irreversibility: POV has no ability to access your wallet, recover lost keys, reverse transactions, or modify on-chain data.

7. Fees & Network Costs

  • Network Fees: You are responsible for all blockchain network fees ("gas") and any fees imposed by third-party wallet providers.
  • Protocol Fees: Any protocol-level fees or performance fees are programmed directly into the smart contracts and disclosed within the documentation or user interface.

8. Third-Party Services

The Services may integrate with or rely upon third-party wallets, RPC providers, blockchains, stablecoin issuers (e.g., Tether), or infrastructure providers. POV exercises no control over, and assumes no responsibility for, the actions, omissions, availability, or terms of service of such third parties.

9. Intellectual Property

The PalmFi interface, including all branding, code, text, graphics, and documentation, is the proprietary property of POV or its licensors. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Services strictly in accordance with these Terms.

10. No Professional Advice

Content provided via the Services is for informational purposes only and does not constitute financial, investment, legal, accounting, or tax advice. You should consult with professional advisors before making financial decisions.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, POV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL POV'S TOTAL AGGREGATE LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS ($100.00 USD).

13. Indemnification

You agree to indemnify, defend, and hold harmless POV, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of or relating to your use of the Services or violation of these Terms.

14. Governing Law & Dispute Resolution

All disputes shall be governed by the laws and dispute resolution mechanisms set forth in the Legal & Disclosure document.
